SolarWinds: SolarWinds, Inc. Announces Pricing of Its Initial Public Offering

AUSTIN, TX--(Marketwire - May 19, 2009) - SolarWinds, Inc. today announced the initial public offering of 12,116,279 shares of its common stock at $12.50 per share. The shares will begin trading on the New York Stock Exchange on May 20, 2009 under the ticker symbol "SWI." (NYSE: [ SWI ]) SolarWinds is offering 9,000,000 shares of common stock and selling stockholders are offering the remaining 3,116,279 shares in the offering. The underwriters have a 30-day option to purchase up to an additional 1,817,441 shares from the selling stockholders to cover over-allotments, if any.

J.P. Morgan Securities Inc., Goldman, Sachs & Co., and Morgan Stanley & Co. Incorporated are acting as joint book-running managers for the offering. Jefferies & Company, Inc., Thomas Weisel Partners LLC and Ladenburg Thalmann & Co. Inc. are the co-managers of the offering.
