BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Novell, Inc. (aNovella or the aCompanya) (NASDAQ:NOVL) related to the Companya™s agreement to be acquired by Attachmate Corporation (aAttachmatea), which is owned by an investment group led by Francisco Partners, Golden Gate Capital and Thoma Bravo. The proposed cash transaction is valued at approximately $2.2 billion.

Under the terms of the definitive agreement entered into by the parties, Novell shareholders will receive $6.10 in cash for each share they own of the Companya™s common stock. Novell shares traded as high as $6.53 per share as recently as September 22, 2010. The transaction is expected to close in the first quarter of 2011. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Novella™s board of directors.
