Winland Electronics, Inc. Agrees to Sell its Electronic Manufacturing Services (EMS) Business Unit to Nortech Systems, Incorpor

MANKATO, Minn.--([ BUSINESS WIRE ])--Winland Electronics, Inc. (AMEX: WEX), a leading designer and manufacturer of custom electronic control products and systems, today announced that it has entered into a definitive agreement to sell its Electronic Manufacturing Services (EMS) business unit to Nortech Systems, Incorporated, an unrelated third party, for a cash consideration, an inventory consumption obligation by Nortech, plus the assumption of substantially all of the liabilities of Winlanda™s Electronic Manufacturing Services (EMS) business unit.

"The proceeds from this sale will be used to satisfy existing contractual, banking and employee contracts, as well as give us enough capital to move forward with our proprietary products business unit."

The transaction, which has been approved by the Winlanda™s Board of Directors, is subject to further approval by Winlanda™s shareholders, Nortecha™s bank and is expected to close during the first quarter of 2011.

Winland will continue as a public company after the consummation of the sale and run its current proprietary products business unit.
