(aAtherosa or the aCompanya) (NASDAQ:ATHR) related to the Companya™s agreement to be acquired by QUALCOMM Incorporated (aQUALCOMMa). The proposed transaction is valued at approximately $3.1 billion.

Under the terms of the definitive agreement entered into by the parties, Atheros shareholders will receive $45.00 in cash for each share they own of the Companya™s common stock. The proposed transaction has been approved by the Atheros board of directors. The transaction is expected to close in the first half of 2011.
