The proposed all-cash transaction is valued at approximately $1.7 billion.
Under the terms of the Agreement and Plan of Merger entered into by the parties, if the merger is completed IBM will pay Netezza shareholders $27.00 in cash for each share of the Companya™s common stock they own. Upon completion of the proposed transaction, IBM intends to integrate Netezza within IBMa™s Information Management software portfolio. The transaction is expected to be completed in the fourth quarter of 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Netezzaa™s board of directors.
