BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Microtune, Inc. (aMicrotunea or the aCompanya) (NASDAQ:TUNE) related to the Companya™s agreement to be acquired by Zoran Corporation (aZorana). The proposed all-cash transaction is valued at approximately $166 million.

Under the terms of the definitive agreement entered into by the parties, Zoran will pay Microtune shareholders $2.92 in cash for each share of the Companya™s common stock they own. The transaction is expected to close in the fourth quarter of 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Microtunea™s board of directors.
