Tekelec Announces Employment Inducement Awards

MORRISVILLE, NC--(Marketwire - May 12, 2010) - [ Tekelec ] (NASDAQ: [ TKLC ]), the session and mobile data management company, announced today that the Company has granted restricted stock units ('RSUs') to certain employees who have joined Tekelec during the past week as a result of the Company's acquisitions of Camiant and Blueslice Networks.

The Company granted to seven new employees a total of 97,500 RSUs that vest in four equal annual installments commencing one year after the grant date. The Company also granted to nine new employees a total of up to 132,447 RSUs that can be earned if the employees achieve individual performance milestones. If earned, an employee's RSUs will vest in four equal annual installments commencing on the date they become earned.

The Compensation Committee of the Company's Board of Directors approved the awards in reliance on the employment inducement exception to the NASDAQ rules that require shareholder approval of equity-based incentive plans and awards. The NASDAQ rules require the public announcement of such inducement awards.
