Stull, Stull & Brody Announces Investigation on Behalf of Shareholders of Zigo Corporation
NEW YORK--([ BUSINESS WIRE ])--Attorney Advertising. Notice is hereby given that Stull, Stull & Brody has commenced an investigation on behalf of shareholders of the common stock of Zygo Corporation ("Zygo" or the "Company") (Nasdaq: ZIGO) for possible breaches of fiduciary duty and other violations of state law by the Company's Board of Directors in connection with an unsolicited purchase offer made by II-IV Incorporated ("II-IV Inc.") to acquire all of the outstanding shares of Zygo common stock in a transaction valued at approximately $10.00 in cash or stock per Zygo share, for aggregate consideration of approximately $170 million.
The current investigation concerns the price to be paid by II-IV to Zygo shareholders and the process by which Zygo's Board of Directors is addressing the transaction. Zygo announced on January 7, 2010 that it plans to hire an independent financial advisor to evaluate the offer, and also stated that the Company is in the late stages of a substantial reorganization of its business. Whereas Zygo's shareholders will receive $10.00 per share under the terms of the proposed transaction, that figure represents a substantial potential discount to II-IV in comparison to the Company's recent closing price of $10.85 per share on January 8, 2010.
If you own the common stock of Zygo and wish to obtain additional information about this matter, please contact Aaron Brody, Esq. at Stull, Stull & Brody by calling 1-800-337-4983 or 1-212-687-7230, or by email to [ ssbny@aol.com ] or by writing to Stull, Stull & Brody, 6 East 45th Street, New York, NY 10017.
