BOULDER, Colo.--([ BUSINESS WIRE ])--The Shuman Law Firm today announced that it is investigating potential claims against the board of directors of Argon ST, Inc. (aArgon STa or the aCompanya) (NASDAQ: STST) related to the Companya™s agreement to be acquired by The Boeing Company (aBoeinga). The proposed cash transaction is valued at approximately $775 million.

Under the terms of the definitive agreement entered into by the parties, a subsidiary of Boeing will commence a tender offer to acquire Argon ST for $34.50 per share in cash. Upon completion of the transaction, Argon ST will become a subsidiary of Boeing and a new division of Boeing Network & Space Systems. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Argon STa™s board of directors.
