(aADCa or the aCompanya) (NASDAQ:ADCT) related to the Companya™s agreement to be acquired by Tyco Electronics, Ltd. (aTycoa). The proposed cash transaction is valued at approximately $1.25 billion.

Under the terms of the definitive agreement entered into by the parties, Tyco will acquire ADC for $12.75 per share in cash. The transaction is structured as a tender offer to be followed as soon as possible by a merger, and is expected to close in the fourth quarter of 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by ADCa™s board of directors.
