Under the terms of the definitive agreement entered into by the parties, EMC will pay Isilon shareholders $33.85 in cash, in exchangefor each share they own of the Companya™s common stock. The board of directors of Isilon has unanimously approved the terms of the agreement. The transaction is expected to close by the end of 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Isilona™s board of directors.
