BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Terremark Worldwide Inc. (aTerremarka or the aCompanya) (NASDAQ:TMRK) related to the Companya™s agreement to be acquired by Verizon Communications Inc. (aVerizona). The proposed transaction is valued at approximately $1.4 billion.
Under the terms of the definitive agreement entered into by the parties, Verizon will commence a tender offer between February 10 and February 17, 2011, to acquire all shares of Terremark common stock for $5.50 per share in cash. The tender offer is expected to close late in the first quarter of 2011. If the transaction is completed, Terremark will operate as a wholly owned subsidiary of Verizon. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Terremarka™s board of directors.
