Novafora Completes Its Acquisition of Transmeta

SAN JOSE, Calif.--([ BUSINESS WIRE ])--Novafora, Inc., a developer of video processors, today announced that it has completed its acquisition of Transmeta Corporation (NASDAQ: TMTA) pursuant to an agreement and plan of merger announced on November 17, 2008.

Transmeta stockholders approved the merger on January 26, 2009, and the parties closed the transaction and consummated the merger on January 27, 2009.

Each share of Transmeta common stock outstanding at the time of the merger was converted into the right to receive $19.007 in cash, without interest.

Upon the consummation of the merger, Transmeta requested the delisting of its common stock from the NASDAQ Global Market, effective as of prior to the opening of the market on January 28, 2009.
