BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Dionex Corporation (aDionexa or the aCompanya) (NASDAQ:DNEX) related to the Companya™s agreement to be acquired by Thermo Fisher Scientific, Inc. (aThermo Fishera). The proposed all-cash transaction is valued at approximately $2.1 billion.
Under the terms of the agreement entered into by the parties, Thermo Fisher will commence a tender offer to acquire all of the outstanding shares of Dionex common stock for $118.50 per share in cash. The board of directors of Dionex has unanimously approved the proposed transaction. If the transaction is completed, Dionex will be integrated into Thermo Fishera™s Analytical Technologies Segment. The transaction is expected to be completed in the first quarter of 2011. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by the Dionex board of directors.
