The investigation concerns whether the Vital Images Board of Directors breached their fiduciary duties to Vital Images stockholders by failing to adequately shop the Company before entering into this transaction and whether TMSC is underpaying for Vital Images shares, thus unlawfully harming Vital Images stockholders.
