(aATGa or the aCompanya) (NASDAQ:ARTG) related to the Companya™s agreement to be acquired by Oracle Corporation (aOraclea). The proposed cash transaction is valued at approximately $1 billion.

Under the terms of the Agreement and Plan of Merger entered into by the parties, Oracle will pay ATG shareholders $6.00 in cash for each share they own of the Companya™s common stock. The transaction is expected to close by early 2011. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by ATGa™s board of directors.
