According to the complaint, after, on April 26, 2012, the Company reported earnings sharply below guidance and expectations, as well as the termination of the Chairman of its Board of Directors, the resignation of three Company directors, and the resignation the Company's Chief Financial Officer, the value of Allscripts shares declined significantly.
