(NASDAQ: DDIC) for shareholders in connection with the proposed acquisition by Viasystems Group Inc. On April 4, 2012, the companies announced the definitive merger agreement under which DDi would be acquired by Viasystems Group, in a transaction valued at approximately $268 million. Under the terms of the agreement, DDi stockholders will receive $13.00 in cash for each share of DDi/DDIC common stock held. The offer price represents a 6 percent premium over DDi's closing stock price of $12.26 on Tuesday, April 3,2012.
