Blackbaud to Refile HSR Premerger Notification and Report and Extend Offer to Acquire Convio

CHARLESTON, S.C.--([ ])--Blackbaud, Inc. (Nasdaq: [ BLKB ]) today announced that it has voluntarily withdrawn its Premerger Notification and Report Form (aHSR Notification and Reporta) under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 and, in conjunction, extended the expiration of its cash tender offer for all outstanding shares of common stock of Convio, Inc. (Nasdaq: CNVO) to midnight, New York City Time, on Wednesday, March 7, 2012. The expiration date of the tender offer may only be extended in increments of no more than ten business days each, pursuant to the terms of the merger agreement between the companies. Blackbaudas withdrawal, which is effective February 22, 2012, will provide the Department of Justice (aDOJa) with additional time to review information regarding the proposed acquisition without requiring a formal Request for Additional Information.

Blackbaud will continue to respond to any informal requests by the DOJ to provide additional information about its business and will continue to discuss the proposed transaction and answer any additional questions raised by the DOJ staff. Blackbaud remains committed to working cooperatively with the DOJ as it conducts its review of the proposed acquisitionand to refiling the HSR Notification and Report.
