BOCA RATON, Fla.--([ BUSINESS WIRE ])--The Law Office of Jonathan M. Stein, P.L. is investigating the Board of Directors of Advanced Analogic Technologies Incorporated ("AATI" or the "Company") (Nasdaq: AATI) for possible breaches of fiduciary duty and other violations of state law in connection with their attempt to complete a sale of the Company to Skyworks Solutions, Inc. (aSkyworksa) (Nasdaq: SWKS). Under the terms of the proposed transaction, AATI shareholders are to receive consideration worth $6.13 per share consisting of $3.68 in cash and .08725 of a share of Skyworks common stock for each outstanding share of AATI common stock, for a total transaction value of about $258 million.

Of particular interest, certain of AATI's officers and directors have entered into a shareholder agreement with Skyworks and have agreed to vote all their shares of AATI in favor of the merger and against any other acquisition proposal or alternative acquisition agreement made in opposition to the proposed sale to Skyworks.
