Under the terms of the agreement, MetroPCS will declare a 1 for 2 reverse stock split, pay $1.5 billion to its shareholders (a value of approximately $4.09 per share prior to the reverse split) and acquire all of T-Mobileas capital stock by issuing to Deutsche Telekom 74% of MetroPCSas common stock on a pro forma basis. The investigation concerns whether MetroPCSas board of directors failed to adequately shop the Company and obtain the best possible value for MetroPCSas shareholders before entering into an agreement with Deutsche Telekom. In particular, at least one analyst set a price target for MetroPCS stock at $18.00 per share.
