JM Capital II Corp. Completes Capital Pool Company Initial Public Offering

TORONTO, ONTARIO--(Marketwire - July 5, 2012) - JM Capital II Corp. (TSX VENTURE:JCI.P) ("JM Capital" or the "Company"), a capital pool company, is pleased to announce that it has completed its initial public offering by issuing 3,500,000 common shares at a price of $0.10 per common share, for gross proceeds to the Company of $350,000 (the "Offering").

The common shares of the Company will commence trading on the TSX Venture Exchange today under the trading symbol of "JCI".

The net proceeds of the Offering will be used by the Company to identify and evaluate assets or businesses for acquisition with a view to completing a "Qualifying Transaction" under the capital pool company program of the TSX Venture Exchange.

Union Securities Ltd. (the "Agent") acted as agent for the Offering. In connection with the Offering, the Agent received an aggregate commission equal to 10% of the aggregate gross proceeds of the sale of the common shares along with options to purchase such number of common shares as is equal to 10% of the number common shares sold under the offering at an exercise price of $0.10 per common share and for a period of 24 months following the completion of the offering.
