On April 18, 2012, the companies announced the definitive merger agreement under which Knology would be acquired by WOW!, in a transaction valued at approximately $750 million. Under the terms of the agreement, Knology stockholders will receive $19.75 in cash for each share of Knology/KNOL common stock held. The offer represents a 9.4 percent premium to Knologyas closing price on Tuesday. The firmas investigation seeks to determine whether Knology and its Board undertook a fair process in negotiating the deal.
