NEW YORK--([ BUSINESS WIRE ])--The Law Office of Abe Shainberg is investigating the Board of Directors of LaBarge, Inc. (AMEX: LB) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to Ducommun Incorporated (NYSE: DCO). Under the terms of the proposed transaction, LaBarge shareholders will receive $19.25 in cash per share for a total transaction value of approximately $340 million, including the assumption of debt.

The investigation concerns whether the LaBarge Board of Directors breached their fiduciary duties to LaBarge stockholders by failing to adequately shop the Company before entering into this transaction and whether Ducommun Incorporated is underpaying for LaBarge shares, thus unlawfully harming LaBarge stockholders. According to Yahoo! Finance, at least one analyst set a price target for LaBarge stock at $22.00 per share.
