Under the terms of the definitive agreement entered into by the parties, Intel will purchase all of the shares of McAfee common stock for $48.00 per share in cash. The board of directors of McAfee has unanimously approved the transaction. After completion of the proposed transaction, McAfee will operate as a wholly owned subsidiary of Intel, reporting into Intela™s Software and Services Group. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by McAfeea™s board of directors.
