BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of McAfee, Inc. (aMcAfeea or the aCompanya) (NYSE:MFE) related to the Companya™s agreement to be acquired by Intel Corporation (aIntela). The proposed all-cash transaction is valued at approximately $7.68 billion.

Under the terms of the definitive agreement entered into by the parties, Intel will purchase all of the shares of McAfee common stock for $48.00 per share in cash. The board of directors of McAfee has unanimously approved the transaction. After completion of the proposed transaction, McAfee will operate as a wholly owned subsidiary of Intel, reporting into Intela™s Software and Services Group. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by McAfeea™s board of directors.
