NEW YORK--([ BUSINESS WIRE ])--Bernstein Liebhard LLP is investigating whether the Board of Directors of Health Grades, Inc. (aHealth Gradesa or the aCompanya) (NASDAQ: HGRD) breached its fiduciary duty to its shareholders in agreeing to sell Health Grades to Vestar Capital Partners V, L.P. (aVestara).

Under the terms of the agreement, Health Grades shareholders will receive $8.20 in cash for each share they own, placing the total value of the transaction at approximately $294 million. The investigation is focused on the potential unfairness of the price to Health Grades shareholders and the process by which the Health Grades Board of Directors considered and approved the transaction.
