Peter Clapman has been appointed as the chairman of the corporate governance and nominating committee of the iPass board of directors. Mr. Clapman is recognized as an industry leader in corporate governance. Mr. Clapman was recently awarded a lifetime achievement award for corporate governance from Corporate Secretary Magazine and serves as a board member of the National Association of Corporate Directors and serves on its governance committee. Mr. Clapman also serves as the independent chairman of the board of trustees of the AARP mutual funds and as the President and Chief Executive Officer of the U.S. corporate governance operations of Governance for Owners LLP. Mr. Clapman has also served as senior vice president and chief investment counsel for TIAA-CREF. Mr. Clapman joined the iPass board of directors in February 2007 and has served on the corporate governance and nominating committee since that date.
Gary Griffiths has been appointed as the chairman of the compensation committee of the iPass board of directors. Mr. Griffiths has served as a senior executive officer at a number of technology companies, including as the President and Chief Operating Officer of Litescape Technologies, Inc., Vice President at Cisco Systems, Inc., which acquired WebEx Communications, where Mr. Griffiths served as President, Products and Operations. Mr. Griffiths also served as Chairman, President and Chief Executive Officer at Everdream Corporation. Mr. Griffiths currently serves on the board of directors of Silicon Graphics International Corp. and on SGI's compensation committee. Mr. Griffiths joined the iPass board of directors in June 2009 and has served on the compensation committee since that date.
Robert Majteles has been appointed as the chairman of the audit committee of the iPass board of directors. Mr. Majteles is currently the managing partner of Treehouse Capital LLC an investment firm. Mr. Majteles currently sits on the board of directors of Rovi Corporation, U.S. Auto Parts Network, Inc., Unify Corporation, Comarco, Inc. and Adept Technology and serves on the audit committees at Rovi, U.S. Auto Parts and Comarco. Mr. Majteles has also led executive teams that were instrumental in turning around the businesses at CAMAX Systems, Inc. and ULTRADATA Corporation. Mr. Majteles joined the iPass board of directors in June 2009 and has served on the audit committee since that date.
