On July 11, 2011, the companies announced the definitive merger agreement under which Radiant Systems would be acquired by NCR Corporation, in a transaction valued at approximately $1.2 billion. Under the terms of the agreement, Radiant Systems stockholders will receive $28.00 in cash for each share of Radiant Systems/RADS common stock held. The offer price represents a 28 percent premium over Radiant System's Friday closing price of $21.95.
