TORONTO, June 23, 2011 /CNW/ - SQI Diagnostics Inc. (the "Company", "SQI Diagnostics", or "SQI") (TSX-V: SQD), a life sciences company that develops and commercializes proprietary technologies and products for advanced microarray diagnostics, wishes to remind its shareholders of its upcoming annual and special meeting of shareholders to be held at 11:00 a.m. Toronto time on Thursday, July 7, 2011 (the "Meeting"), and to provide details to shareholders on ways of voting shares given the ongoing Canadian postal disruption, which may interrupt the delivery of proxies or voting instruction forms to and from shareholders.
Meeting Venue Details & Meeting Materials
The Meeting will be held at the offices of McCarthy Tétrault LLP, 66 Wellington Street West, 53rd Floor, Toronto, Ontario, M5K 1E6. You are cordially invited to attend in person.
Copies of the notice of meeting, management proxy circular and a form of proxy (the "Meeting Materials") prepared in respect of the Meeting have been mailed to shareholders. Some shareholders may also have received a voting instruction form. If you have not yet received the Meeting Materials by mail, you are encouraged to access them under SQI's profile at [ www.sedar.com ] or from the SQI website. Alternatively, should you not have electronic access to the Meeting Materials, our transfer agent, Equity Financial Trust Company ("Equity"), will courier copies to shareholders free of charge if you request them no later than June 30, 2011 by calling Equity at 416.361.0152 or toll-free in North America at 1.866.393.4891.
Shareholders may file a proxy by one of the following methods:
- Registered shareholders (being those with physical share certificates) who do not attend the Meeting in person can either fax an executed form of proxy to Equity at 416.595.9593 or email the name and address of the shareholder to [ investor@equityfinancialtrust.com ] requesting a control number. Using the control number Equity provides, you can file your proxy online at [ www.voteproxyonline.com ]. Fax cover sheets should include the shareholder name, address and contact phone number or email address.
Non-objecting beneficial owners ("NOBOs") who do not attend the Meeting in person can email their name and address to [ investor@equityfinancialtrust.com ] requesting a control number. Using the control number Equity provides, you can file your proxy online at [ www.voteproxyonline.com ].
All proxies and voting instruction forms must be received by Equity by 11:00 a.m. (Toronto time) on Tuesday, July 5, 2011. If you are voting by telephone or on the Internet, all required information must be entered by 11:00 a.m. (Toronto time) on Tuesday, July 5, 2011.
- Registered shareholders and NOBOs may appoint someone other than the management proxyholders whose names appear on the form of proxy to attend the Meeting for them and vote their shares. If this option is chosen, strike out the two names that are printed on the form of proxy and write the name of the person you are appointing in the space provided. Complete your voting instructions, sign and date the form. The person you appoint does not need to be an SQI shareholder. A control number is not needed for this method.
- Objecting beneficial owners ("OBOs") may have received either a form of proxy or a voting instruction form. OBOs should contact their broker or other intermediary directly, as each intermediary has its own form of proxy or voting instruction form return instructions.
Beneficial shareholders who are unsure of whether they are a NOBO or OBO should contact their broker for instructions.
