On April 4, 2011, the companies announced the definitive merger agreement under which National Semiconductor would be acquired by Texas Instruments, in a transaction valued at approximately $6.5 billion. Under the terms of the agreement, National Semiconductor stockholders will receive $25.00 in cash for each share of National Semiconductor/NSM common stock held.
