BALA CYNWYD, Pa., March 10, 2012 /PRNewswire/ -- Law office of Brodsky & Smith, LLC announces that it is investigating potential claims against the Board of Directors of Quest Software, Inc. ("Quest" or the "Company") (NASDAQ: [ QSFT ]) relating to the proposed acquisition by Insight Venture Partners ("Insight").

Under the terms of the transaction, Quest shareholders would receive only $23.00 in cash for each share of Quest stock they own. The investigation concerns possible breaches of fiduciary duty and other violations of state law by the Board of Directors of Quest for not acting in the Company's shareholders' best interests in connection with the sale process to Insight. The transaction may undervalue Quest as Quest stock traded at $26.44 on January 21, 2011 and recently traded at $24.63 on March 9, 2012.
