NEW YORK--([ BUSINESS WIRE ])--The Law Office of Abe Shainberg is investigating the Board of Directors of SMART Modular Technologies (WWH), Inc. (Nasdaq: SMOD) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to Silver Lake Partners and Silver Lake Sumeru. Under the terms of the proposed transaction, SMART shareholders will receive $9.25 in cash per share for a total transaction value of approximately $645 million.

The investigation concerns whether the SMART Board of Directors breached their fiduciary duties to SMART stockholders by failing to adequately shop the Company before entering into this transaction and whether Silver Lake is underpaying for SMART shares. According to Yahoo! Finance, at least one analyst set a price target for SMART stock at $11.00 per share.
